Nan Gabriel Studio, LLC (the “Company”) operates http://www.exchange4green.com (the “Website”) which is an information sharing website that allows registered members to upload their listings, create blogs, create group, upload green tips and promote smart green ideas and concepts. The Internet related services offered by the Company, including any Exchange For Green - branded URL http://www.exchange4green.com is subject to your compliance with the terms and conditions set forth below. The Website is hosted in the United States.

This Terms of Use Agreement (the “Agreement”) is between you (the “Service User”) and the Company. This Agreement sets forth the legally binding terms for your use of the Exchange4Green Internet Services (the “Internet Services”). By your checking “I agree the Terms of Use and Privacy Policy” and by using this Website, you signify your understanding and agree to be bound by this Agreement, whether you are a “Visitor” (“which means that you simply browse the Website”) or you are a “Member” (which means that you have registered with the Website). The Company may make adjustments and modify this Agreement at any time and the modification shall be effective upon posting immediately on the Website. Your continued use of the Internet Services after Exchange For Green posts a revised Agreement signifies your acceptance of the revised Agreement. It is important for you to read and understand this Agreement frequently to ensure you are informed and updated as to any changes.

Company is not responsible for any materials posted by users. However, company reserves the right at all times to disclose any information to satisfy any law, regulation or government request, or to edit, refuse to post or to remove any information or materials that in Company's sole discretion are objectionable or in violation of this Agreement.

Our services are not available to children who are under the age of 18 unless they can use the Internet Services under the supervision of their parents or guardians. 3. Member Account may not be transferred or sold to another party. One account per person. No individuals permitted to have more than one single account at any time.

If you need to create ads for your listings, fees may be applied and changed at any time without prior notice. In the meanwhile, we may choose to adjust our fees policy and the fees for our services for any marketing event and campaign purposes. All fees are provided and quoted in U.S. Dollars. You are responsible for paying all fees associated with using the Internet Service and the Website and all applicable taxes.

7. Hyperlinks – in order to post any hyperlinks on the website, you are granted a limited, nonexclusive right to create a hyperlink to the homepage or recipe home page of the Website only. You are not allowed to use, frame or utilize framing techniques to enclose any using Exchange For Green trademark, logo, or other proprietary information, including the images found at this Website, the content of any text, or the layout/design of any page or form contained on any pages of the Website, without using Exchange For Green written permission.

All legal or required actions, such as transfer legal titles and etc., are required to be handle by both parties involved in the transaction.

16. Listings - You must be legally able to giveaway or exchange the item(s) you list on this Website. You agree all items posted are legal and do not infringe any intellectual property rights, including but not limited to copyrights, trademarks, and patents. Your listings may include text descriptions, item categories, locations, time, condition and nature of the item you posted for exchange or giveaway at your best knowledge.

You agree to hold Exchange For Green harmless for any violations of law or regulation that arise in connection with the posting to your account of items resulting in civil or criminal liability.

18. Shipping – Exchange For Green is not responsible for any shipping costs, services and schedule. After both parties confirm the transaction, shipping will be handled by both parties and based on personal references. Items lost or damaged in shipping transit are the sole responsibility of the shipping member

19. Rate/Feedback will be collected after the deal is made. Failure to ship the listing(s) is in violations of Exchange For Green’s policy and can result in your account being suspended.

Fraud - Without limiting any other remedies, Exchange For Green may suspend or terminate your account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Website. This includes, but without limiting, failing to ship an item when you are obligated to do so, or failing to acknowledge the delivery of an item when you in fact have received it.

Exchange For Green prosecutes fraud to the fullest extent of the law, including wire or mail fraud in violation of U.S. and state law. Exchange For Green assumes no liability for this or any other fraudulent activity by its members.

All advertisements and links to Third Party websites from the Company Website are maintained by Third Party. Users who browse and purchase products or services and get any information from Third Party websites will be considered as customers of those merchants. By submitting, disclosing, or offering listings, blogs, groups, green tips, resources, images, comments, questions and answers, ideas, members, hypertext links, user names, concepts, and other information, content to the Website, either online or offline by the Company, you grant to the Company and the Website a royalty-free right and license to use, copy, license, sublicense, adapt, distribute, display, publicly perform, reproduce, transmit, modify, edit, advertise, market, sell and otherwise non-commercially and commercially exploit your submitted items and copyright, in any manner or medium now existing or hereafter developed (including print, films, or electronic storage devices), without compensation of any kind to you or any Third Party. All notices that are made to the company have to be in writing (including email) to the Nan Gabriel Studio, LLC Management Team and email to support@exchange4green.com or via certified mail, return receipt requested, to the then registered agent of the Company listed with the Colorado Secretary of State. All notices to the user this Agreement should include legal name, valid mailing address, and current email address give by the user.
